By accessing or using CostSpike ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

We reserve the right to update, change, or replace any part of these Terms at any time. It is your responsibility to check this page periodically for changes. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

2. Description of Service

CostSpike is a cloud cost monitoring and anomaly detection service that helps you monitor your AWS spending, detect cost spikes, and receive alerts when unusual spending patterns are detected. The Service connects to your AWS accounts through IAM roles and retrieves cost and usage data to provide monitoring and alerting capabilities.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You may register using email and password, or through third-party authentication providers (Google, Microsoft). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or use of your account
• Be responsible for all activities that occur under your account
• Ensure that your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. Subscription Plans and Billing

4.1 Subscription Plans

The Service is offered in subscription plans ("Free" and "Pro"). Features and limitations of each plan are described on our website. We reserve the right to modify, suspend, or discontinue any plan or feature at any time.

4.2 Billing and Payment

For paid subscriptions:

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• Payments are processed through Stripe, our third-party payment processor
• You authorize us to charge your payment method for all subscription fees
• All fees are non-refundable except as required by law or as otherwise stated
• We reserve the right to change our pricing with 30 days' notice

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

4.4 Refunds

Subscription fees are generally non-refundable. We may, at our sole discretion, provide refunds in exceptional circumstances. Refund requests must be submitted within 30 days of the charge.

5. AWS Integration and Permissions

5.1 IAM Role Configuration

To use the Service, you must configure an AWS IAM role with appropriate permissions. You are solely responsible for:

• Creating and configuring the IAM role according to our documentation
• Granting only the minimum permissions necessary for the Service to function
• Maintaining the security of your AWS account and IAM role
• Revoking access if you suspect unauthorized use

5.2 Data Access

The Service requires read-only access to AWS Cost and Usage Reports and billing data. We do not modify, delete, or create resources in your AWS account. We only retrieve cost and usage information necessary to provide monitoring and alerting services.

5.3 AWS Account Security

You are responsible for maintaining the security of your AWS account. We are not liable for any unauthorized access to your AWS account or any consequences thereof.

6. Acceptable Use

You agree not to use the Service:

• In any way that violates any applicable law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate us, our employees, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Service
• To use automated systems (bots, scrapers) to access the Service without our prior written consent

7. Intellectual Property

The Service and its original content, features, and functionality are owned by CostSpike and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent.

8. User Content and Data

8.1 Your Data

You retain all rights to your data. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you. This license terminates when you delete your account or data, except as necessary to comply with legal obligations.

8.2 Data Export

You may export your data at any time through the Service. Upon account deletion, we will delete or anonymize your personal data in accordance with our Privacy Policy, except where retention is required by law.

9. Service Availability and Modifications

9.1 Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COSTSPIKE, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless CostSpike, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. Governing Law and Dispute Resolution

13.1 Governing Law

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CostSpike regarding the use of the Service and supersede all prior agreements and understandings.
